<p><strong style="font-size: 16px;">About These Terms</strong></p>

<p>These terms apply to all goods and services supplied on credit or invoice by 3D Printer Gear Pty Ltd (ABN 76 662 174 745) (we, us, our) to business customers (you, your). They apply together with our standard terms of sale and prevail to the extent of any inconsistency relating to payment.</p>

<p><strong style="font-size: 16px;">Payment</strong></p>

<ul>
    <li>Unless otherwise stated on the invoice, payment is due within 30 days of the invoice date.</li>
    <li>Payment must be received in cleared funds in our nominated bank account by the due date, regardless of the method of payment.</li>
</ul>

<p><strong style="font-size: 16px;">Late Payment Interest</strong></p>

<ul>
    <li>If any amount remains unpaid more than 30 days after the invoice date, we reserve the right to charge interest on the overdue balance at the rate of 12% per annum, compounding monthly, accruing from the 31st day after the invoice date until the overdue balance is paid in full.</li>
    <li>Interest accrues on the full overdue balance, including any interest previously added to the account.</li>
    <li>A decision by us not to charge interest on one occasion does not waive our right to charge it on any other occasion.</li>

<p><strong style="font-size: 16px;">Application of Payments</strong></p>

<p>Payments received will be applied first to any accrued interest and recovery costs, then in settlement of the earliest outstanding invoice.</p>

<p><strong style="font-size: 16px;">Recovery Costs</strong></p>

<ul>
    <li>Overdue accounts may be referred to a debt collection agency without further notice.</li>
    <li>You are liable for all costs we reasonably incur in recovering overdue amounts, including collection agency fees, legal costs and dishonour fees, and these may be added to your account.</li>
</ul>

<p><strong style="font-size: 16px;">Suspension of Supply and Credit</strong></p>

<p>While any amount is overdue, we may do any of the following without liability to you:</p>

<ul>
    <li>Suspend deliveries or services</li>
    <li>Place your account on hold</li>
    <li>Vary your credit terms</li>
    <li>Require payment in advance for further supply</li>
</ul>

<p><strong style="font-size: 16px;">Risk and Title</strong></p>

<ul>
    <li>Risk in goods passes to you on delivery.</li>
    <li>Title in goods does not pass to you until you have paid in full all amounts owing to us on any account, including amounts owed under previous invoices.</li>
    <li>Until title passes, you hold the goods as bailee for us, must where practicable store them so they are identifiable as ours, and may sell them only in the ordinary course of your business.</li>
    <li>If you sell goods before title has passed to you, you hold the proceeds of that sale on trust for us and must account to us for those proceeds on request.</li>
    <li>If any amount is overdue, you grant us an irrevocable licence to enter, during business hours, any premises where the goods are located in order to inspect or repossess them, and you indemnify us against any claim arising from that entry.</li>
</ul>

<p><em>These risk and title terms create a security interest for the purposes of the Personal Property Securities Act 2009 (Cth) and we may register that interest on the Personal Property Securities Register. To the extent permitted by that Act, you waive your right to receive any notice under it.</em></p>

<p><strong style="font-size: 16px;">Disputed Invoices</strong></p>

<p>If you dispute an invoice or any part of it, you must notify us in writing within 14 days of the invoice date and pay the undisputed portion by the due date.</p>

<p><strong style="font-size: 16px;">General</strong></p>

<ul>
    <li>These terms do not limit any other right or remedy available to us at law.</li>
    <li>Nothing in these terms excludes, restricts or modifies any right or remedy you have under the Australian Consumer Law or any other law that cannot lawfully be excluded.</li>
</ul>
